Financial Fair Play in het voetbal: een rode kaart voor de UEFA?

De Financial Fair Play regels werden door de UEFA in het leven geroepen om tegemoet te komen aan enkele fundamentele problemen waarmee het huidige Europese clubvoetbal te kampen heeft. Voornaamste probleem lijkt de drang te zijn naar succes op een korte termijn. Dit leidt al te vaak tot onverantwoorde investeringen in bijvoorbeeld transferbedragen en spelerslonen. Wanneer deze investeringen dan niet leiden tot de geanticipeerde successen, krijgen voetbalclubs te kampen met solvabiliteitsproblemen waardoor ze hun verplichtingen jegens andere clubs, werknemers, sociale instellingen en belastingautoriteiten niet meer kunnen nakomen.

De doelstellingen van de Financial Fair Play regels zijn dan ook geformuleerd in het licht van deze problemen. Deze regels trachten in de eerste plaats ervoor te zorgen dat voetbalclubs hun financieel beleid op een verantwoordelijke manier uitvoeren. De voetbalclubs worden dan ook aangespoord om geen irrationele investeringen te doen maar om meer te investeren met het oog op de lange termijn. Dit zou moeten leiden tot meer financiële stabiliteit bij de clubs, waardoor de kans op solvabiliteitsproblemen verkleind wordt en de clubs hun verplichtingen kunnen nakomen.

De belangrijkste en tevens meest gecontesteerde regel van Financial Fair Play betreft de break-even vereiste. Volgens deze regel moeten de voetbalgerelateerde inkomsten van een club groter dan of gelijk zijn aan de uitgaven van die club geteld over drie periodes. Er is echter wel onder bepaalde voorwaarden een aanvaardbare afwijking mogelijk. Bovendien worden niet alle inkomsten en uitgaven mee in rekening gebracht. Zo zullen enkel inkomsten uit voetbalgerelateerde activiteiten relevant zijn. Gelet op de doelstelling om de clubs aan te sporen om te investeren met het oog op de lange termijn, worden dergelijke lange termijninvesteringen eveneens niet in rekening gebracht. Bovendien heeft men om mogelijke omzeilingen van de break-even regel te vermijden de regel ingesteld dat transacties tussen de club en partijen die verbonden zijn aan de club dienen te gebeuren aan een “fair value”.

Er zijn echter reeds stemmen opgegaan die stellen dat de Financial Fair Play regels enkele belangrijke bepalingen van het recht van de Europese Unie schenden. Zo wordt er gesteld dat de Financial Fair Play regels, en dan voornamelijk de break-even vereiste, de vrije mededinging en het recht op vrij verkeer van werknemers, diensten en kapitaal belemmeren. Men kan inderdaad argumenten aanhalen waaruit men kan afleiden dat de Financial Fair Play regels deze vrijheden beperken. Om te kunnen voldoen aan de Financial Fair Play regels, zullen de voetbalclubs immers verschillende aanpassingen moeten doorvoeren. Zo zullen ze minder geld kunnen spenderen aan bijvoorbeeld transferbedragen omdat deze uitgaven relevant zijn voor de berekening van de break-even vereiste. Bijgevolg wordt de vrijheid van handelen van de voetbalclubs enigszins ingeperkt. Aangezien de UEFA bovendien over een machtspositie beschikt en de FFP-regels een belemmering van de mededinging inhouden, kan men ook concluderen dat de UEFA met de oplegging van deze regels misbruik maakt van deze machtspositie.

Men kan daarenboven ook stellen dat de Financial Fair Play regels de regels inzake het vrij verkeer van werknemers, het vrij verkeer van diensten en het vrij verkeer van kapitaal schendt. Voetbalclubs worden immers gelimiteerd in hun vrijheid om geld te investeren in bepaalde kostenposten, waardoor het vrij verkeer van kapitaal verhinderd wordt. Dit leidt er verder eveneens toe dat de kansen voor de voetbalspelers op een transfer afnemen door de Financial Fair Play regels, waardoor hun recht op vrij verkeer beperkt wordt. Hiermee samenhangend worden ook de spelersmakelaars belemmerd in de vrije uitvoering van hun diensten.

De Financial Fair Play regels hebben dus een belemmerend effect zowel op de vrije mededinging als op de drie aangehaalde vrije verkeren. Deze belemmering kan echter alsnog gerechtvaardigd worden indien de Financial Fair Play regels voldoen aan een aantal voorwaarden die voortvloeien uit de rechtspraak van het Hof van Justitie. Hierbij komen telkens drie voorwaarden terug. Ten eerste moeten de doelstellingen van de Financial Fair Play regels legitiem zijn. Vervolgens moeten de Financial Fair Play regels toereikend zijn om deze doelstellingen te bereiken. Ten slotte moeten de Financial Fair Play regels een proportionaliteitstoets doorstaan, waarbij vooral de vraag naar alternatieve, minder beperkende maatregelen relevant is.

Hoewel de doelstellingen die door de Financial Fair Play regels vooropgesteld worden nog niet expliciet aanvaard werden door het Hof van Justitie als legitieme doelstellingen, kan men toch verwachten dat dit in de toekomst wel het geval zal zijn. In de “joint statement” tussen de Europese Commissie en de UEFA sprak de Europese Commissie immers haar goedkeuring uit over de doelstellingen van de Financial Fair Play regels.

De proportionaliteitsvoorwaarde blijkt echter het grootste obstakel te vormen voor de Financial Fair Play regels. Hiervoor moet men nagaan of er geen alternatieve maatregelen mogelijk zijn die gelijkaardige of dezelfde doelstellingen kunnen halen maar hierbij minder beperkingen met zich meebrengen voor de vrije mededinging en de vrije verkeren. Dergelijk alternatief lijkt te bestaan in het systeem van de “luxury tax”, dat inhoudt dat voetbalclubs bijkomende belastingen moeten betalen wanneer de totale salariskosten van de clubs een bepaald bedrag overschrijden. De opbrengsten uit deze belasting worden vervolgens verdeeld onder de financieel zwakkere voetbalclubs. Het zou nog beter zijn indien men ook de prijzengelden zou herzien. Er is een groot verschil tussen de bedragen die clubs kunnen verdienen in de Champions League enerzijds en in de Europa League anderzijds. Indien men deze kloof zou verkleinen, zou men de neiging van de voetbalclubs om onverantwoord te investeren met het oog op een snelle kwalificatie voor de Champions League eveneens verminderen

Het lijkt er dus op dat de Financial Fair Play regels een ongerechtvaardigde belemmering inhouden van het Europese mededingingsrecht en het recht op vrij verkeer van werknemers, diensten en kapitaal. De UEFA heeft ongetwijfeld nobele doelstellingen voor ogen, maar de Financial Fair Play regels vormen niet de juiste methode om deze doelstellingen te bereiken.
